1. Acceptance of Terms

By accessing or using this website, including all associated content, services, and software (collectively, the "Platform"), you ("you" or "User") agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree, do not use or access the Platform.

Use of the Platform is permitted solely for professional, lawful, and internal business purposes by licensed healthcare practices or their authorized representatives.

2. Scope of Services

Medsite Pro offers cloud-based software tools designed to support medical practice operations, including:

  • Website hosting and development;
  • AI-assisted patient intake workflows;
  • Online scheduling integrations;
  • EHR and third-party software connectivity.

NO MEDICAL ADVICE: The Platform does not provide medical advice, diagnosis, or treatment. It is not a substitute for the clinical judgment of licensed professionals.

3. Software Use and Restrictions

By using our software, you expressly acknowledge and agree that:

  • Software is provided "AS IS," "AS AVAILABLE," and WITHOUT WARRANTY OF ANY KIND.
  • We make no guarantee that the software will be uninterrupted, timely, secure, accurate, or error-free.
  • All configurations, content, and workflows must be independently verified by your practice.
  • You are solely responsible for the use and reliance on any software-generated outputs, suggestions, or recommendations.

You shall not:

  • Reverse engineer, decompile, or modify the software;
  • Use it to violate any law or regulation;
  • Use automated systems to extract data ("scraping") without prior consent.

4. Regulatory Compliance

The Company provides infrastructure that is designed to support HIPAA compliance. We execute HIPAA-compliant Business Associate Agreements (BAAs) with key vendors, including Microsoft Azure and OpenAI.

However, YOU are the Covered Entity or business user of the platform and retain full responsibility for:

  • Ensuring HIPAA compliance in your use;
  • Informing patients about your privacy practices;
  • Configuring appropriate user permissions and access controls.

5. Intellectual Property

All copyrights, trademarks, trade secrets, and other proprietary rights in the Platform and content therein are owned or licensed by Convena Care, LLC. You are granted a limited, non- exclusive, non-transferable license to use the Platform in accordance with these Terms.

6. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, SECURITY, OR NON-INFRINGEMENT.
  • CONVENA CARE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOST PROFITS, BUSINESS INTERRUPTION, REGULATORY PENALTIES, OR NEGLIGENCE RESULTING FROM THE USE OR INABILITY TO USE THE PLATFORM.
  • YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE PLATFORM IS TO STOP USING IT.

7. Indemnification

You agree to fully indemnify, defend, and hold harmless Convena Care, LLC and its officers, employees, agents, and affiliates from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of:

  • Your use or misuse of the Platform;
  • Your violation of these Terms;
  • Any content or data submitted by you;
  • Any breach of applicable law, including HIPAA or state medical privacy laws.

8. Modifications

We may revise these Terms at any time, with or without notice. It is your responsibility to review these Terms periodically. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

9. Governing Law & Venue

These Terms shall be governed by and construed under the laws of the State of New Jersey, without regard to conflicts of law. All disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Hunterdon County, New Jersey. You waive any right to participate in a class action.

11. Scheduling Tool Disclaimer

Medsite Pro provides appointment scheduling tools as a convenience for healthcare practices. These tools are intended to collect and route patient-submitted scheduling requests to the designated practice.

The Company does not:

  • Guarantee appointment availability or accuracy of scheduling data,
  • Validate insurance eligibility or coverage,
  • Determine clinical appropriateness of visit types,
  • Confirm whether a provider will accept a given patient or condition.

The healthcare practice remains solely responsible for:

  • Managing appointment workflows and patient communications,
  • Verifying insurance and legal eligibility,
  • Accepting, rescheduling, or declining appointment requests.

Patients with questions or issues about scheduling must contact the healthcare provider directly.
